PART III -  NARRATIVE

The Registrant's Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2010 cannot be filed within the prescribed time period because the Registrant requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-Q. The Registrant's Quarterly Report on Form 10-Q will be filed on or before the 5th calendar day following the prescribed due date.

PART IV -  OTHER INFORMATION

(3)
The Registrant anticipates that its revenues for the three months ended March 31, 2010 will be approximately $37,500 compared to no revenues achieved during the three months ended March 31, 2009. The increase in revenues generated is primarily attributable to the Registrant's shift in business focus to the aggregation and distribution of international content for Internet consumption in China. During the three months ended March 31, 2009, we had a net loss of approximately $715,000 and we anticipate our net loss will be approximately $211,000 for three months ended March 31, 2010, primarily due to a significant reduction in the Registrant's operating expenses as a result of a shift in business to the aggregation and distribution of international content for Internet consumption in China.
